Fountain pen resting on business contracts

I specialise in cross-border business: companies entering the Italian market, Italian businesses working with partners abroad, and international deals with an Italian side. I draft and negotiate the contracts, handle the Italian corporate and compliance aspects, and coordinate with counsel in the other countries involved.

What I can help with

  • Cross-border transactions. NDAs, letters of intent, term sheets and share purchase agreements (SPAs), due diligence and closing, in coordination with foreign counsel.
  • Commercial agreements. Supply, distribution, agency and service contracts, with clear terms on prices, deliveries, liability and termination.
  • Contract review before you sign. A check of the contract your counterparty has sent you: risky clauses, missing protections and what to negotiate.
  • Confidentiality and early-stage agreements. NDAs, letters of intent and memoranda of understanding, so negotiations start on solid ground.
  • Land and property agreements for businesses. Leases, rights of way, surface rights and option agreements, including for energy and industrial projects.
  • Setting up in Italy. Choosing the right structure, incorporating an Italian company (S.r.l.) and the documents needed from abroad, including a power of attorney.
  • Corporate matters. Shareholders’ agreements, board and shareholders’ resolutions, and legal due diligence before an acquisition.
  • Privacy and GDPR. Privacy notices, data processing agreements and GDPR compliance for companies operating in Italy and the EU.

Why it matters

Italian law fills the gaps of a contract with its own rules, which often differ from those in common law countries: penalty clauses, termination, the right to withdraw, and the court that will hear a dispute. A contract written with Italian law in mind avoids surprises when something goes wrong.
